IRB InvIT Fund to Acquire Two BOT Highway Assets from IRB Infrastructure Trust

IRB-Road-Highway
IRB Infrastructure Developers Ltd. has announced that its sponsored platforms, IRB Infrastructure Trust and IRB InvIT Fund, have signed a binding term sheet for the transfer of two premium Build-Operate-Transfer (BOT) highway assets to IRB InvIT Fund.

The assets include the 395-lane km Solapur-Yedeshi section of NH-211 in Maharashtra and the 749-lane km Chittorgarh-Gulabpura section of NH-79 in Rajasthan.

The transaction follows the non-binding offer exchanged in May 2026 and forms part of IRB's capital recycling strategy aimed at expanding its publicly listed infrastructure investment trust portfolio.

The boards of the investment managers of both entities have approved the proposed transaction. Following the transfer, IRB will continue as the project manager for both highway assets, increasing its operations and maintenance (O&M) order book by approximately Rs. 2,400 crore.

Commenting on the development, Virendra D. Mhaiskar, Chairman & Managing Director of the Company said, “The signing of this binding term sheet represents another successful iteration of IRB’s B.E.S.T. (Bid, Execute, Stabilize, Transfer) strategy, underscoring the strength of our capital recycling model. By periodically monetizing mature assets and redeploying the released capital through the Private InvIT into new opportunities, we are creating a self-sustaining growth platform that compounds shareholder value without incremental equity infusion at the sponsor level. The transaction strengthens both InvITs by enhancing Public InvIT’s portfolio with seasoned high-quality, revenue-generating assets and a longer weighted average concession life while replenishing the Private InvIT’s capital for future acquisitions and development. This scalable model cements IRB’s transition into a premier Sponsor and O&M platform accelerating our progress towards building an asset base of ₹1,40,000 crore over the next three to four years.”
