Autodesk Signs $3.6 Billion Deal to Acquire Maintainx, Raises Annual Outlook

Autodesk has announced a definitive agreement to acquire MaintainX, a maintenance and asset operations software company, in a deal valued at $3.6 billion. The acquisition will be funded through a combination of cash on hand and debt financing, and is expected to close later this fiscal year.

MaintainX, which is projected to exceed $135 million in annualized recurring revenue (ARR) for 2026, offers a mobile-first platform used by organizations globally to manage assets, coordinate frontline workflows, and track real-world operational data.

"Our goal with MaintainX is to bring deep operational expertise, contextual data and workflows that enhance our ability to use AI to converge digital and physical worlds," said Andrew Anagnost, CEO, Autodesk.

The acquisition is central to Autodesk's broader push into connected operations. The company recently introduced Autodesk Operations Solutions (AOS), which unifies its existing operations portfolio including Tandem, FlexSim, Fusion Operations, and Factory Design Utilities under a single strategy designed to help customers manage and optimize assets across the full lifecycle, from design through real-world operation.

Alongside the deal announcement, Autodesk raised its fiscal 2027 outlook, now projecting revenue of $8.16 billion to $8.22 billion and adjusted earnings per share of $12.40 to $12.65, both ahead of prior guidance. The company also reported first quarter revenue of $1.93 billion, beating analyst expectations.
