Capital Infra Trust Seeks Unitholder Nod for Six Road Asset Acquisitions

The Trust’s Investment Manager, Gawar Investment Manager Private Limited, approved the Postal Ballot Notice on August 17, 2026, with remote e-voting scheduled from August 18 to September 9, 2026. The results are expected to be announced by September 11, 2026.
The proposed acquisition covers 100% equity in six road asset companies: Gawar Bhiwani Highway, Gawar Kangra Highways, Gawar Pathankot Mandi Highway, Gawar Udaipur Highway, Gawar Waranga Highways and Gawar Rudrapur Highway.
Unitholders will also vote on authority to raise debt and create charges on assets, fundraising through institutional placement, debt or a combination of both, and a preferential issuance of units to Gawar Construction Limited for up to ₹1,249.99 crore.
Capital Infra Trust CEO Hare Krishna said the proposed acquisition would strengthen the Trust’s portfolio and support its strategy of building a diversified infrastructure platform for unitholders.
The resolutions carry different voting thresholds. The acquisition requires a simple majority, while borrowing and related matters require approval from unitholders holding at least 75% of the value. The fundraising and preferential unit issuance resolutions require at least 60% of votes cast in favour.
KFin Technologies Limited is facilitating the e-voting process, while Makarand M. Joshi & Co. has been appointed as scrutiniser. The Postal Ballot Notice and valuation report for the target assets dated August 17, 2026 have been provided to the stock exchanges and made available to unitholders.
