Dilip Buildcon Sells Rs 8,400 Crore Power and Solar Projects to Alpha Alternatives

Dilip Buildcon Ltd. (DBL) has approved the divestment of its stake in two special purpose vehicles (SPVs) developing power transmission and solar projects with a combined project cost of around Rs 8,400 crore to Alpha Alternatives.

The transaction involves Mekhali Power Transmission and DBL Renewable, which are executing a transmission project in Karnataka and a large-scale solar portfolio in Madhya Pradesh, respectively. The consideration will be paid through a phased subscription and closing mechanism, while definitive agreements are yet to be signed.

Mekhali Power Transmission is developing a 400 kV substation and around 470 circuit kilometres of transmission lines in Belagavi, Karnataka, under the Build-Own-Operate-Transfer (BOOT) model through the tariff-based competitive bidding route. DBL Renewable, a wholly owned subsidiary of Dilip Buildcon, is developing a 1,363 MW/1,977 MW grid-connected solar PV portfolio across 163 locations in Madhya Pradesh through 10 SPVs.

The company said the divestment is part of its strategy to transition towards an asset-light, multi-asset infrastructure platform, recycle capital for new growth opportunities, reduce debt and strengthen its balance sheet.

The transaction is subject to the signing of definitive agreements, fulfilment of agreed conditions and receipt of the necessary regulatory approvals.
